You use your own AI accounts. We do not need access to them, and we do not share your material with other funds.
Ownership
You own your documents and what you build from them. We own our materials and license them to you for internal use.

Who These Terms Cover and What They Apply To.

These terms are an agreement between Accendo Associates LLC, a Maryland limited liability company (“Accendo”, “we”, “us”), and the person or organization that registers for, buys or uses our services (“you”). If you register on behalf of an organization, you confirm that you are authorized to accept these terms for it.

They apply to the Accendo Impact Investors AI Circle (the “AI Circle”), including cohorts, the AI Circle Intensive, Set Your Baseline sessions, AI Circle membership, and any related materials, office hours, events and advisory work we deliver.

Our services are sold to professionals for business purposes. They are not offered to consumers.

If you and Accendo sign a separate agreement, order form or statement of work, that document takes priority over these terms where the two differ.

Your Place Is Confirmed When We Confirm It in Writing.

  • AI Circle Intensive. Your seat is confirmed when your card payment succeeds on the registration form and you receive our confirmation email.
  • AI Circle cohort. Your fund’s place is confirmed when we accept your enrollment in writing and issue an invoice. We may hold a place while payment is in progress, as agreed with you in writing.
  • Set Your Baseline. Registration is free. Your place is confirmed when we send the joining details.
  • Bespoke and portfolio programs. These are confirmed by a signed order form or statement of work.

Places are limited. We may decline a registration, for example where a program is full, where the organization does not fit the program, or where accepting it would conflict with our obligations to other participants. If we decline a paid registration, we refund any amount you paid in full.

Prices Are in US Dollars and Are Paid Before the Program Starts.

  • The AI Circle Intensive costs USD 750 per person, paid by card through our payment provider, Stripe, when you register. An organization buying two or more seats may ask to be invoiced instead.
  • AI Circle cohort fees are quoted per fund and invoiced in US dollars. Invoices are payable by bank transfer before the first session, unless we agree other timing in writing.
  • Our fees do not include bank charges, transfer fees or taxes that apply in your country. You are responsible for these, so that we receive the full invoiced amount. If you are required by law to withhold tax, please tell us before you pay so we can agree how to handle it.
  • Discount codes and credits apply only as stated when they are issued, cannot be exchanged for cash, and only one discount applies to each purchase. Up to two AI Circle Intensive fees may be credited against an AI Circle cohort place taken by the same organization within ninety days of the Intensive.
  • If an invoice is unpaid when due, we may pause access to the program until it is paid.

You Can Move Your Place, and You Are Protected if We Cancel.

AI Circle Intensive. A seat is for one named person. If you cannot attend, tell us before the session starts and we will move you to any later AI Circle Intensive held within ninety days, or you may pass the seat to a colleague by telling us their name. Fees are not refunded in cash once a seat is confirmed, except as set out below.

AI Circle cohort. If you cancel in writing at least fourteen days before the first session, we refund the fee in full. After that, the fee is not refundable, but you may move the place once to the next cohort, or replace a participant with a colleague at any time.

If we cancel or reschedule. If we cancel a session or program, or move it to dates you cannot attend, you may choose a transfer to other dates or a full refund of the fees paid for the part not delivered. If a single session has to move, we will offer a replacement session or a recording.

Card disputes. Please contact us before raising a dispute with your card issuer. Most issues can be resolved quickly by email.

We Deliver With Reasonable Skill and Care, and May Adjust Details.

Sessions are delivered online at the times shown when you register, using video conferencing and the AI tools you and we agree on. We will deliver the services with the reasonable skill and care expected of a professional adviser.

We may make reasonable changes to session content, order, tools demonstrated or facilitators, provided the overall program you bought is not materially reduced. We will tell you about any significant change in advance.

If a session is recorded, we will say so before it starts. Recordings are shared only with the participants of that session or cohort and are used to support your learning and to improve the program. We do not publish them.

You Stay in Control of Your Accounts, Your Data and Your Decisions.

  • Use your own AI accounts and tools, and follow your organization’s own policies for them. We recommend business or enterprise plans for any fund material.
  • Only upload or share material you are entitled to use. Before any document goes into an AI tool, apply your organization’s data rules. Do not share personal or regulated data in sessions unless your legal or compliance team has approved it.
  • Keep joining links, materials and other participants’ contributions to yourself and your organization.
  • Treat the sessions as a professional, respectful space. We may remove a participant whose conduct disrupts a session, without a refund.

What You Share in the AI Circle Stays in the AI Circle.

Each party will keep confidential any non-public information it receives from the other and use it only for the program. This does not apply to information that is already public, that the receiving party already had, or that it must disclose by law.

Cohort discussions follow the Chatham House Rule: participants may use what they hear, but may not attribute it to a named person or fund. We do not share one fund’s material with another fund. We may publish the names of participating funds, and aggregated, unattributed results. We quote a named individual only with that person’s permission.

We do not need access to your accounts or files. If your organization requires a mutual confidentiality agreement, we are glad to sign one before the program starts.

We Use Your Details to Run the Program and Nothing Else Without Your Consent.

We use the details you give us to register you, deliver the program, send you program communications and issue invoices. We send newsletters only if you opt in, and you can unsubscribe at any time. Card payments are processed by Stripe, and we do not see or store your full card details.

Our Privacy Policy explains how we collect, use and protect personal data, and how to exercise your rights.

You Own Your Material and Results. We Keep Ours and License It to You.

You keep all rights in your own documents and data, and in the outputs, prompts and workflows you build from them during the program.

Accendo keeps all rights in its program materials, including slides, templates, skills, prompts, guides, the ready reckoner and the skills and agents library. We grant you a non-exclusive, non-transferable license to use them inside your own organization for as long as you have access to them. You may adapt them for internal use. You may not resell, publish or use them to train or run a competing program.

We may use general know-how gained from delivering the program, provided we do not disclose your confidential information.

Membership Is Included, Runs for a Fixed Term and Does Not Renew Automatically.

  • An AI Circle cohort place includes twelve months of AI Circle membership for the fund’s participants, starting on the cohort start date.
  • An AI Circle Intensive seat includes six months of AI Circle membership for the attendee, starting on the date of the Intensive.
  • Set Your Baseline does not include membership.
  • Membership gives access to the skills and agents library, the InvestTech vendor list, and member communications, webinars, summits and check-ins, as these are offered at the time. Cohort participants also receive the benefits described for their cohort.
  • Membership does not renew automatically, and we never charge for a renewal without your written agreement. We will write to you with renewal terms before your membership ends. Membership is personal and may not be shared outside the named members.

The Program Teaches Methods. Decisions Remain Yours.

The AI Circle is training and capability building. Nothing we provide is investment, legal, tax, accounting or regulatory advice, and nothing is a recommendation to make or hold any investment.

AI tools can produce incorrect or incomplete output. You are responsible for checking any output before relying on it, and for the decisions your organization makes.

References to third-party tools and vendors, including in the InvestTech list, are for information. They are not endorsements, and your use of those tools is governed by their own terms.

A completion record confirms the sessions attended and the work completed. It is not an accredited qualification.

Each Side Carries a Fair and Limited Share of Risk.

Accendo’s total liability to you for any claim connected with a service is limited to the fees you paid for that service in the twelve months before the claim arose.

Neither party is liable for indirect or consequential loss, or for loss of profit, revenue, investment returns, data or goodwill, even if it was foreseeable.

These limits do not apply to liability that cannot be limited by law, including liability for fraud, gross negligence or willful misconduct, or to your obligation to pay fees due.

Neither party is responsible for delay or failure caused by events beyond its reasonable control, such as outages of internet, video or AI services, natural disasters or government action. The affected party will tell the other promptly and take reasonable steps to resume.

Both Parties Act Lawfully and Transparently.

Each party will comply with the anti-bribery, anti-corruption, sanctions and anti-money-laundering laws that apply to it. We will not knowingly provide services to any person or organization subject to applicable sanctions. We may decline or end a registration, with a refund of fees for services not delivered, if continuing would breach these laws.

If Something Goes Wrong, We Talk First.

If a dispute arises, please write to us. Senior representatives of both parties will try in good faith to resolve it within thirty days.

If it is not resolved, it will be settled by binding arbitration administered by the International Centre for Dispute Resolution of the American Arbitration Association under its International Arbitration Rules. There will be one arbitrator, the seat of arbitration will be Maryland, United States, hearings will be held online unless the arbitrator decides otherwise, and the language will be English. Either party may ask a court for urgent interim relief, for example to protect confidential information.

These terms are governed by the laws of the State of Maryland, United States, without regard to its conflict of laws rules.

The Practical Points.

  • We may update these terms. The version in force when your place is confirmed applies to that purchase. Changes do not apply to a purchase already made unless you agree.
  • Neither party may transfer this agreement without the other’s consent, except that Accendo may transfer it to a successor business with notice to you.
  • If any part of these terms is found unenforceable, the rest remains in effect.
  • Notices should be sent by email to the addresses the parties use for the program. Ours is aicircle@accendoassociates.com.
